Websense Signs Definitive Agreement to be Acquired by Vista Equity Partners

Shareholders to receive $24.75 per share in cash in transaction valued at approximately $1 billion

Websense, Inc. (NASDAQ: WBSN) a global leader in protecting organizations from the latest cyber-attacks and data theft, today announced that it has entered into a definitive agreement to be acquired by Vista Equity Partners ("Vista"), a leading private equity firm focused on investments in software, data and technology-enabled businesses.

"After detailed discussions with several potential acquirers, the Websense board of directors is pleased to approve this agreement," said John Carrington, chairman of the Websense board of directors. "It provides stockholders with immediate and substantial cash value that reflects our assessment of the fair value of the company."

 London, UK, 3rd April 2013, the Conservative Technology Forum (CTF) Energy Group has launched this first paper in response to a meeting with Charles Hendry, MP, in April 2012. The Group has brought together interested parties from suppliers, consumers, standards bodies and politics to formulate the paper. This has been presented to Baroness Verma and the Group hopes to hold a meeting with the Minister in the near future.

“We have to turn the approach to smart metering on its head and emphasise the benefits to early adopters” says the Andrew Henderson, Co-Chair of the Energy Group, introducing the Conservative Technology Forum policy proposals in their paper: Power to the people.

 Rolling Meadows, IL, USA (3 April 2013)—Many are declaring 2013 as the year of the hack. ISACA’s recent cybersecurity survey of more than 1,500 security professionals found that more than one in five respondents’ enterprises have experienced an advanced persistent threat (APT) attack. More than 60 percent of survey respondents say that it’s only a matter of time before their enterprise is targeted. To help enterprises prepare and protect against cyberattacks, ISACA, a global association of 100,000 IT professionals, is hosting a free virtual conference, titled The State of Cybersecurity, on Wednesday, 24 April 2013, from 8:45 a.m.-5:30 p.m. CDT (UTC–6).
