VirnetX Declares Essential Patents for 4G Security

VirnetX Holding Corporation (NYSE Amex: VHC), a secure real-time communications and collaboration technology company, today announced that it has declared to the 3GPP (3rd Generation Partnership Project) that its U.S. and international patents are or may be essential to Long Term Evolution (LTE) and 4G wireless specifications. The Company declared 23 patents and 28 applications that specifically pertain to 4G security standards.

VirnetX believes it will hold the majority of 4G essential patents related to Series 33 specifications that define security standards for LTE/4G and is prepared to license the use of its patents for incorporation into 4G related products such as chips, servers, smartphones, laptop computers, etc.

"Declaring our patents as essential to 4G is a significant complement to our already active licensing model," said Kendall Larsen, VirnetX CEO and President.

Windstream to Acquire Iowa Telecommunications Services, Inc.

Windstream Corporation (NYSE: WIN) announced today that it has entered into a definitive agreement to acquire Iowa Telecommunications Services, Inc. (NYSE: IWA), based in Newton, Iowa, in a transaction valued at approximately $1.1 billion.

Iowa Telecom shareholders will receive 0.804 shares of Windstream stock and $7.90 in cash per each Iowa Telecom share under terms of the agreement approved by the boards of directors of both companies. Windstream expects to issue approximately 26.5 million shares of stock valued at approximately $269 million, based on the company’s closing stock price on Nov. 23, 2009, and pay approximately $261 million in cash as part of the transaction. Windstream also will repay estimated net debt of approximately $598 million. Windstream intends to finance the cash portion of the transaction and the repayment of Iowa Telecom’s outstanding indebtedness with the proceeds from a debt financing or additional bank borrowings.

KPN B.V. ("KPN") and iBasis, Inc. (NASDAQ: IBAS) ("iBasis") today announced that they have entered into a settlement agreement under which KPN will make a last and final increase of its offer for the outstanding shares in iBasis not otherwise held by KPN to $3.00 per share in cash. The Special Committee of iBasis's Board of Directors has unanimously approved the agreement and recommends that iBasis stockholders tender their shares in KPN's tender offer.

eOn Communications Reports Strong Fourth Quarter and Total Year Revenue with Fourth Quarter Profitability

eOn Communications Corporation((TM)) (Nasdaq: EONC) (the "Company"), a leading provider of telecommunications solutions, today reported fourth quarter and fiscal year ended July 31, 2009 results.

Fourth quarter revenue increased 217% to $5,089,000 from $1,604,000 in the fourth quarter of last year and increased 106% compared to revenues of $2,465,000 in the third quarter of this year. Net income for the quarter was $111,000 or $0.04 per common share compared to a net loss of $338,000 or $0.12 per common share in the quarter ended July 31, 2008. Included in the net income for the quarter was $480,000 of imputed interest expense due to the amortization of the difference between the face value of the contingent obligation to the former Cortelco shareholders and the discounted present value of the note payable recorded on the balance sheet.
